These Terms & Conditions (“Terms”, “Agreement”) govern your access to and use of the services provided by Siyaram Consultancy Services (“Company”, “we”, “us”, or “our”). By engaging our services, signing a proposal, statement of work (“SOW”), service agreement, order form, or otherwise using our services, you (“Client”, “you”, or “your”) agree to be bound by these Terms.

Please read these Terms carefully before purchasing or using our services.

1. Scope of Services

The Company provides technology, consulting, development, infrastructure, security, cloud, and digital marketing services, which may include:

  • Managed Services – IT infrastructure monitoring, maintenance, technical support, system administration, and ongoing IT operations.
  • IT Consulting & Advisory – Technology strategy, architecture consulting, IT assessments, digital transformation, technology planning, and advisory services.
  • Cyber Security – Security assessments, vulnerability assessments, penetration testing where specifically authorized, security monitoring, hardening, incident-response support, and security consulting.
  • Web Development – Website design and development, e-commerce development, CMS implementation, custom web applications, integrations, maintenance, and related services.
  • Mobile Development – iOS and Android application development, cross-platform applications, API integration, maintenance, and application support.
  • Cloud Services – Cloud deployment, migration, configuration, monitoring, optimization, backup, infrastructure management, and related services.
  • SaaS & Digital Platforms – Design, development, customization, integration, hosting, maintenance, and support of SaaS applications and digital platforms.
  • Server Management – Server installation, configuration, monitoring, security hardening, backup, optimization, updates, troubleshooting, and administration.
  • Digital Marketing & SEO – Search engine optimization, technical SEO, content optimization, paid advertising management, social media marketing, analytics, and related digital marketing services.

The exact scope, deliverables, timelines, fees, technologies, support levels, and responsibilities will be defined in the applicable proposal, quotation, SOW, order form, or service agreement.

2. Agreement and Acceptance

A legally binding agreement may be formed when the Client:

  1. Accepts a proposal or quotation;
  2. Signs an SOW or service agreement;
  3. Makes a payment or deposit;
  4. Provides written authorization to begin work; or
  5. Uses or receives the Company’s services.

If there is a conflict between these Terms and a separately signed agreement, the signed agreement will generally prevail to the extent of the conflict.

3. Client Responsibilities

The Client agrees to:

  • Provide accurate, complete, and timely information required for the services.
  • Provide necessary access credentials, API keys, hosting access, DNS access, source code, documentation, accounts, and other resources.
  • Maintain appropriate backups of Client-owned data unless backup services are expressly included in the scope.
  • Ensure that all materials, content, software, data, images, trademarks, and other resources supplied to the Company may legally be used.
  • Review and approve deliverables within a reasonable period.
  • Make timely decisions and provide required feedback.
  • Ensure that its systems and activities comply with applicable laws and regulations.
  • Maintain appropriate licenses for third-party software, plugins, themes, APIs, fonts, images, and other resources supplied by the Client.

Delays caused by missing information, approvals, credentials, payments, or Client-side dependencies may result in corresponding changes to project timelines.

4. Project Scope and Change Requests

Services will be performed according to the agreed scope.

Any request that materially changes the agreed functionality, design, technology, integrations, deliverables, infrastructure, or project requirements may be treated as a Change Request.

Change Requests may result in:

  • Additional development or consulting fees;
  • Revised delivery dates;
  • Additional infrastructure or third-party costs;
  • Changes to previously approved functionality; or
  • A requirement for a new SOW.

The Company is not obligated to perform out-of-scope work until the applicable change has been approved.

5. Fees and Payments

Fees will be specified in the applicable quotation, proposal, SOW, invoice, or subscription agreement.

Unless otherwise agreed:

  • A deposit or advance payment may be required before work begins.
  • Recurring services are billed according to the agreed billing cycle.
  • Third-party costs may be charged separately.
  • Taxes, government charges, payment processing fees, hosting charges, domain fees, licenses, advertising spend, cloud usage fees, and other external costs may be excluded unless expressly stated otherwise.
  • The Client is responsible for paying invoices by the applicable due date.

The Company may suspend services for overdue or unpaid invoices after providing reasonable notice.

6. Refunds and Cancellation

Project deposits, development fees, consulting fees, and other payments may be non-refundable once work has commenced, except where otherwise required by applicable law or expressly agreed in writing.

For recurring services, cancellation requirements will be governed by the applicable service agreement or subscription terms.

Upon termination, the Client remains responsible for all approved work, services performed, expenses incurred, and outstanding invoices up to the effective termination date.

7. Managed IT Services

Managed Services may include monitoring, maintenance, support, system administration, updates, troubleshooting, and infrastructure management.

Service availability and response times will depend on the applicable support plan or SLA.

Unless specifically included, Managed Services do not guarantee:

  • Zero downtime;
  • Zero security incidents;
  • Zero data loss;
  • Continuous availability of third-party services;
  • Resolution of problems caused by unsupported hardware or software; or
  • Performance of systems outside the Company’s reasonable control.
